1. About these Terms
Effective date: 11 October 2026.
These Terms of Service (“Terms”) apply to your access to and use of euroafric.com (the “Website”) and to online payments of invoices issued by Euro-African Diffusion LTD (“EADL”, “we”, “us” or “our”) through a Stripe-powered checkout. By using the Website or submitting an invoice payment, you agree to these Terms.
The Website is a business-to-business export and distribution website for importers, distributors, wholesalers and retail networks. It is not intended for consumer purchases. These Terms govern Website use and the online invoice payment facility. They do not replace or change a quote, accepted purchase order, invoice, sales contract or other written commercial terms agreed between EADL and a customer. If those documents conflict with these Terms on a sale, the specific commercial documents govern that sale.
2. Business users and authority
You may use the Website and payment facility only for lawful business purposes. If you act for a company or other organisation, you confirm that you are authorised to act for it and to accept these Terms on its behalf. You must provide accurate and current information when submitting an enquiry or paying an invoice.
3. Website information and enquiries
The Website describes EADL, the brands and product categories it may supply, and the markets it serves. Product ranges, availability, specifications, market coverage, shipping options and other information may change and are provided for general information. Website content is not a binding offer to sell and does not guarantee that a product or quantity is available in a particular country.
A commercial enquiry, distributor application or request for a quotation does not itself create a sales contract. A sale is made only when EADL and the customer have accepted the applicable written quote, purchase order, sales contract or other order confirmation. The price, currency, taxes, delivery terms, risk transfer, payment schedule, warranties, cancellations and any other sale-specific conditions are set out in those documents.
4. Online payment of EADL invoices
The Website's online checkout is provided for payment of a valid invoice issued by EADL. Before confirming payment, check that the invoice reference, amount and currency shown in the checkout correspond to the invoice you intend to pay. Paying through the checkout settles the payment amount submitted; it does not amend the invoice or the underlying commercial agreement.
Payments are processed by Stripe and the payment methods displayed at checkout. When you submit a payment, you authorise Stripe and the relevant payment provider to process the transaction using the payment method you select. Stripe may apply its own terms and privacy practices to its services. EADL is responsible for the invoice and the underlying sale; Stripe provides payment processing and is not the seller of EADL's goods.
A payment is treated as received by EADL when the payment provider confirms successful processing. A checkout screen, authorisation or pending transaction does not by itself confirm that funds have settled. Any currency conversion, issuer fee or other charge imposed by your bank or payment provider is your responsibility unless the invoice or applicable law says otherwise. Do not send card numbers, security codes or other payment credentials to EADL by email.
Keep your payment confirmation and invoice for your records. If a payment fails, is pending for an extended period, appears to have been charged twice, or does not match your invoice, contact us by email at contact@euroafric.com and include the invoice number and payment reference. Do not submit another payment until you have checked whether the first transaction completed.
5. Refunds, adjustments and payment disputes
The right to a refund, credit, cancellation or adjustment depends on the invoice and the commercial terms that apply to the underlying sale, together with any mandatory law. These Terms do not create a separate right to cancel an order or obtain a refund for a correctly due invoice.
If you believe that an invoice or payment is incorrect, or you request a refund or adjustment, email contact@euroafric.com with the invoice number, payment reference and a short explanation. EADL will review the request against the invoice and the applicable commercial agreement. Where a refund is approved or legally required, EADL will normally submit it through Stripe or the original payment method where available. Refund timing may depend on your bank, card issuer or payment provider.
Please contact EADL promptly about a payment concern so that we can investigate it. This does not limit any rights you may have under mandatory law or the rules of your payment method.
6. Acceptable use
You must not misuse the Website or attempt to interfere with its operation. In particular, you must not:
- use the Website in breach of applicable law or another person's rights;
- attempt to gain unauthorised access to the Website, its systems, data or accounts;
- introduce malicious code, disrupt the Website, or interfere with another user's access;
- scrape, copy, reproduce or systematically collect Website content by automated means without our prior written permission; or
- submit false, misleading, fraudulent or unauthorised enquiries or payments.
We may restrict or suspend access where reasonably necessary to protect the Website, users, EADL or third parties, or to comply with law. Where practicable, we will take proportionate steps and restore access when the reason for restriction has been resolved.
7. Intellectual property
The Website and its text, design, graphics and other content are owned by EADL or used with permission. Brand names, logos and product images remain the property of their respective owners and are displayed for identification and business information. Except for viewing the Website and making ordinary business use of its information, you may not reproduce, modify, distribute or commercially exploit Website content without the rights holder's permission.
8. Third-party services and links
The Website may link to third-party websites or use third-party services, including Stripe checkout. Those services are operated by their respective providers and may be subject to separate terms and privacy notices. EADL does not control third-party services and is not responsible for their content, availability or practices. This does not affect EADL's responsibilities for its own invoices, goods or commercial agreements.
9. Privacy
Our processing of personal data in connection with the Website, enquiries and invoice payments is described in our Privacy Policy, available at https://www.euroafric.com/en/privacy. Stripe may separately process payment information under its own privacy notice. By using the Website or payment checkout, you acknowledge that the relevant providers may process information as described in those notices and in applicable law.
10. Website availability and disclaimers
We aim to keep the Website available and information current, but we do not guarantee uninterrupted access, error-free operation or that every item of content is complete or current. We may change, suspend or discontinue Website features where reasonably necessary for maintenance, security, legal compliance or business reasons.
To the extent permitted by law, the Website and its general information are provided “as is” and “as available”. Nothing in these Terms excludes or limits a duty or liability that cannot legally be excluded or limited. The disclaimers in this section concern the Website and general information; they do not replace the obligations EADL has accepted in a written commercial agreement.
11. Liability
To the extent permitted by applicable law, EADL will not be liable for indirect or consequential loss arising from your use of, or inability to use, the Website, including loss of profits, anticipated savings, business opportunity or data. This does not exclude liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law. Liability connected with a sale, shipment or product is governed by the applicable written commercial agreement and mandatory law.
You are responsible for maintaining the security of your devices, email account and payment method, and for ensuring that anyone using the Website or checkout through your organisation is authorised to do so.
12. Changes to these Terms
We may update these Terms to reflect changes to the Website, payment facility or applicable law. The current version will be published on the Website with its effective date. Changes apply from that date to future Website use and payments. The terms already agreed in a written commercial contract are not changed unless EADL and the customer agree to that change in writing.
13. Governing law and disputes
These Terms and any non-contractual obligations arising from them are governed by the laws of the Republic of Cyprus, without regard to its conflict-of-law rules. The courts of Nicosia, Cyprus have jurisdiction over disputes relating to these Terms, subject to any mandatory rules that apply. A written sales contract or other accepted commercial document may specify different governing law or dispute-resolution terms for the relevant transaction; those specific terms govern that transaction.
